BYLAWS ARTICLE—AFFILIATED TALENTED ARTISTS AGENCY & LIMITED RESPONSIBILITIES OF GCPTALKS, INC.

Section 1. Establishment of Affiliated For-Profit Sister Entity
GCPTALKS, Inc. recognizes and adopts an affiliation with a newly established for‑profit sister entity specializing in the development, management, and advancement of talented artists.

This affiliated agency shall operate independently in its commercial capacity while maintaining a cooperative relationship with GCPTALKS.org for charitable, cultural, and community-based initiatives.

The agency exists to enhance the mission of GCPTALKS, Inc. by providing professional development services that benefit the nonprofit’s programs, visibility, and charitable outreach.

Section 2. Limited Responsibilities of GCPTALKS, Inc.
GCPTALKS, Inc. shall not manage the daily operational, managerial, or commercial functions of talented artists.

GCPTALKS, Inc. shall limit its responsibilities to:

Recruiting charitable members, clients, and talent

Presenting talent for charitable purposes

Organizing meetings, interviews, and scouting sessions

Facilitating introductions for charitable programs and nonprofit initiatives

GCPTALKS, Inc. shall not engage in:

Commercial bookings

Payroll management

Ticket sales

Advertising sales

Artist contracts

For-profit event management

Operational management of artists’ careers

All commercial, financial, and operational responsibilities related to artists shall be handled exclusively by the affiliated for‑profit sister entity.

Section 3. Responsibilities of the For‑Profit Sister Entity
The affiliated agency shall manage all professional, commercial, and operational functions, including but not limited to:

Artist development and training

Event organization and production

Ticketing, bookings, and scheduling

Applications, brochures, and magazines

Payroll and financial administration

Sponsor, investor, and advertiser outreach

Marketing, branding, and promotional activities

The agency shall maintain professional standards and ensure compliance with all applicable laws governing for-profit operations.

The agency shall collaborate with GCPTALKS.org when charitable talent is needed for nonprofit programs, events, or media productions.

Section 4. Affiliation and Cooperative Relationship
GCPTALKS.org and the affiliated agency shall maintain a cooperative relationship that supports:

Charitable programming

Arts and culture initiatives

GCPTV, radio, and reality TV productions

Community outreach

The affiliation does not create shared liability, shared governance, or shared financial responsibility unless expressly authorized by the founder and president.

The Founder and President of GCPTALKS, Inc. retains the authority to define the scope, limits, and terms of the affiliation.

Section 5. Allocation of Funds to GCPTALKS, Inc.
Funds may be allocated from the affiliated agency to GCPTALKS.org for the purpose of supporting:

Founder and President initiatives

Charitable programs

Community outreach

Arts and culture missions

All funds received by GCPTALKS, Inc. shall be used strictly for nonprofit purposes in accordance with:

IRS 501(c)(3) regulations

Organizational bylaws

The Constitution of GCPTALKS, Inc.

No funds may be used for private benefit, personal gain, or any purpose prohibited under federal nonprofit law.

Section 6. Oversight and Governance
The Founder and President of GCPTALKS, Inc. holds full authority to:

Approve the affiliation

Define operational boundaries

Ensure compliance with nonprofit law

Oversee the relationship between the nonprofit and the for-profit entity

The affiliated agency shall respect all boundaries established by GCPTALKS.org and shall not interfere with nonprofit governance, board operations, or charitable mandates.

Any violation of these boundaries constitutes a breach of policy and may result in termination of the affiliation.
