Article I. Purpose and Authority
Section 1.1 – Purpose of the Act
The GCPTALKS 501(c)(3) Nonprofit Protection Act (“the Act”) establishes mandatory standards, safeguards, and operational protections to ensure the integrity, security, and lawful functioning of GCPTALKS, Inc., a federally recognized 501(c)(3) nonprofit organization.
This Act governs all individuals, contractors, volunteers, vendors, partners, and third‑party service providers who engage with GCPTALKS systems, programs, digital assets, intellectual property, or organizational operations.
Section 1.2—Authority
This Act is adopted under the authority of the GCPTALKS Board of Directors and is enforceable as an internal legal policy governing organizational conduct, digital security, staff protection, and nonprofit compliance.
Article II. Organizational Integrity and Ethical Conduct
Section 2.1 – Duty of Honesty and Transparency
All individuals acting on behalf of GCPTALKS must uphold the highest standards of honesty, transparency, and ethical behavior. Misrepresentation, negligence, or intentional misconduct is strictly prohibited.
Section 2.2 – Prohibition of Malicious Intent
Any act that harms, undermines, or attempts to compromise GCPTALKS—including unauthorized access, deletion of content, tampering with digital assets, or interference with fundraising systems—constitutes a violation of this Act.
Section 2.3 – Conflict of Interest
All personnel must disclose any conflict of interest that may influence their actions or decisions related to GCPTALKS operations.
Article III. Digital Security and Asset Protection
Section 3.1 – Protection of Digital Property
All digital content, including website pages, store items, media, donor data, and intellectual property, is the exclusive property of GCPTALKS, Inc. Unauthorized modification, deletion, or removal is strictly prohibited.
Section 3.2 – Access Control
Only authorized individuals may access administrative areas of GCPTALKS digital platforms.
Access must be:
• Limited to essential personnel
• Logged and monitored
• Revoked immediately upon termination of duties
Section 3.3 – Reporting Suspicious Activity
Any suspicious digital activity—including unauthorized deletions, edits, or access attempts—must be reported immediately to GCPTALKS leadership and documented for investigation.
Section 3.4 – Vendor and Contractor Accountability
Vendors, contractors, and third‑party service providers must:
• Adhere to all GCPTALKS security protocols
• Perform contracted work fully and accurately
• Avoid unauthorized delegation of tasks
• Maintain professional conduct at all times
Failure to comply may result in termination of contract, reporting to the Marketplace, and legal action if necessary.
Article IV. Staff and Volunteer Protection
Section 4.1 – Safe and Respectful Workplace
GCPTALKS maintains a zero‑tolerance policy for harassment, intimidation, retaliation, or misconduct toward staff, volunteers, or leadership.
Section 4.2 – Protection of Leadership and Founders
Any attempt to undermine, defame, or interfere with the duties of the Founder, President, or executive leadership is a violation of this Act.
Section 4.3 – Confidentiality Requirements
All personnel must protect confidential information, including donor data, internal communications, and proprietary materials.
Article V. Program and Fundraising Integrity
Section 5.1 – Protection of Fundraising Assets
All fundraising tools—including merchandise, donation pages, campaigns, and digital storefronts—must remain intact, accurate, and secure.
Unauthorized removal of merchandise, products, or fundraising materials is strictly prohibited.
Section 5.2 – Financial Transparency
All financial activities must comply with IRS 501(c)(3) regulations, including:
• Accurate reporting
• Proper documentation
• Ethical fundraising practices
Section 5.3 – Misconduct by Contractors or Vendors
If a contractor fails to complete assigned tasks, misrepresents services, or causes harm to GCPTALKS operations, the organization reserves the right to:
• Withhold payment
• File a formal complaint
• Request investigation
• Terminate the relationship
Article VI. Investigations and Enforcement
Section 6.1 – Authority to Investigate
GCPTALKS leadership may initiate an investigation into any suspected violation of this act, including digital tampering, misconduct, or breach of contract.
Section 6.2 – Cooperation Requirement
All individuals involved must fully cooperate with internal or external investigations.
Section 6.3 – Corrective Actions
Violations may result in:
• Revocation of access
• Contract termination
• Reporting to the Marketplace
• Legal action
• Permanent ban from GCPTALKS systems
Section 6.4 – Documentation
All incidents must be documented and preserved for compliance, legal review, and organizational protection.
Article VII. Amendments and Governance
Section 7.1 – Amendments
This Act may be amended by majority vote of the GCPTALKS Board of Directors.
Section 7.2 – Effective Date
This act becomes effective immediately upon adoption by the Board.
Section 7.3 – Binding Authority
All individuals, contractors, volunteers, and partners are bound by this act as a condition of their involvement with GCPTALKS.
Certification
This document is hereby adopted as the official GCPTALKS 501(c)(3) Nonprofit Protection Act and shall serve as a governing policy for the protection, integrity, and lawful operation of GCPTALKS, Inc.
