GCPTALKS, Inc.—Article of the Founder and Article of the Founder & President’s Principal Oversight Obligations

ARTICLE I — Establishment of the Founder


Section 1.1 — Creation of the Organization

The founder established "GCPTALKS / GCPTALKS, Inc." for the purpose of creating a nonprofit home dedicated to humanitarian, cultural, artistic, and community advancement. The Founder’s original act of formation constitutes the foundational authority upon which the organization stands.


Section 1.2 — Sole Membership

The Founder is hereby recognized as the #1 Sole Member of GCPTALKS / GCPTALKS, Inc. No other individual or entity shall hold membership rights unless expressly granted by the Founder through written amendment to these Articles.


Section 1.3 — Principal Officer Status

The Founder holds the inherent oversight power of the nonprofit’s operations. This oversight authority establishes the founder as the principal officer of GCPTALKS, possessing ultimate supervisory, constitutional, and bylaw‑making authority.


ARTICLE II — Founder and President

Section 2.1 — Dual Role

The Founder has made a self-proclamation to serve concurrently as Founder and President of GCPTALKS, Inc. This dual role consolidates executive, constitutional, and operational leadership within a single office. and shall serve in both roles/positions permanently.


Section 2.2 — Constitutional and Bylaw Authority

The founder and president shall draft, enact, and amend the following:

  • The GCPTALKS Constitution

  • The GCPTALKS Bylaws

  • All governing policies, terms, and procedural frameworks

These governing instruments shall be binding upon all officers, directors, ambassadors, cabinet members, and staff.


Section 2.3 — Supreme Oversight Power

The Founder and President retains supreme oversight authority over:

  • Nonprofit operations

  • Governance bodies

  • Chamber and cabinet proceedings

  • Board of Directors

  • Board of Ambassadors

  • All officers and departments

This authority includes the right to approve, veto, amend, or return any initiative, bill, or policy for revision.

ARTICLE III — Governance Structure and High‑Ranking Protocols

Section 3.1 — Chamber and Cabinet System

GCPTALKS shall operate a structured governance system consisting of:

  • The Chamber

  • The Cabinet

  • Cabinet Sessions

  • The Board of Directors

  • The Board of Ambassadors

  • Executive Offices and Departmental Leadership

These bodies function under the authority of the Founder and President.


Section 3.2 — Officers of High Rank

The following officers shall serve under the Founder and President:

  • Executive Vice President

  • Special Vice President

  • Senior Vice President

  • Communication Vice President

  • Executive Assistant Operational Vice President

  • Director of Department / Director of Programs

  • Secretary of the Administration

  • Secretary of Society

  • Nonprofit Ambassador General Secretary

  • Field Director

  • Treasurer

  • Outreach Director

  • Volunteer Director

  • Grant Application & Case Needs Director

Each officer shall execute duties as defined in their fiduciary task guide.


ARTICLE IV — Board of Directors

Section 4.1 — Appointment Authority

The Founder and President shall appoint three (3) full‑time Board of Directors, who shall serve as

  1. Chief of the Board of Directors

  2. Advisory Board Director

  3. Executive Board Director

These directors shall carry distinct fiduciary responsibilities.


Section 4.2 — Chief of the Board of Directors

The chief of the board shall:

  • Oversee the two other board directors

  • Supervise chamber staff and house directors

  • Manage daily, weekly, monthly, and annual fiduciary tasks

  • Maintain order and operational continuity within the chamber


Section 4.3 — Advisory Board Director

The Advisory Board Director shall:

  • Support chamber staff

  • Assist with operational assignments

  • Provide strategic counsel to the Founder and President


Section 4.4 — Executive Board Director

The Executive Board Director shall:

  • Execute high‑volume operational duties

  • Support the Founder and President’s directives

  • Coordinate with department leaders and cabinet officers


ARTICLE V — Special Vice President

Section 5.1 — Representation of the Founder and President

The Founder and President shall appoint a special vice president who:

  • Advocates on behalf of the Founder and President

  • Sits in the Founder’s chamber chair full‑time

  • Opens chamber sessions with the session message

  • Holds significant operational responsibilities

The special vice president shall not serve as chief executive officer of the board but shall support the founder's executive authority.


Section 5.2 — Chamber Proceedings

  • The sergeant‑at‑arms shall open the prayer.

  • The Secretary shall prepare minutes and present reports.

  • The Assembly Officer shall maintain order and coordinate chamber programming.


ARTICLE VI — Legislative and Initiative Process

Section 6.1 — Presentation of Initiatives

Initiatives may be presented by:

  • The Special Vice President

  • The President’s Secretary and Speaker

  • Department leaders assigned to initiative development


Section 6.2 — Passage of Bills

Bills shall be:

  1. Drafted by the founder and president and sent to the cabinet session president, secretary, and speaker for staff and department leaders to work on.

  2. Reviewed by the Board of Directors

  3. Passed by the Board and founder and president

  4. Submitted to the Founder and President for final approval or veto


ARTICLE VII — Founder and President’s Chamber Role

Section 7.1 — Part‑Time Chamber Director

Due to extensive executive responsibilities, the Founder and President shall serve as a part‑time Board Director within the chamber.


Section 7.2 — Weekly Address

The Founder and President shall address the chamber weekly, regardless of delegation to the Special Vice President.


ARTICLE VIII — Board of Ambassadors

Section 8.1 — Oversight Support

The Board of Ambassadors shall support the Founder and President in the following:

  • Oversight of nonprofit operations

  • Community engagement

  • Program development

  • Organizational governance


ARTICLE IX — Executive Office and Staff Appointments

Section 9.1 — Executive Office Appointments

The Founder and President shall appoint the following:

  • Executive Office Ambassador of the Cabinet

  • Executive Office Manager of Office Affairs

  • Chief of Staff

  • Standard Secretary of Cabinet and Administration

  • Interim Secretary of Portfolio

  • Standard Secretary of Policy

  • Field Director (Security Safety Protection Services)


Section 9.2 — Professional Services

GCPTALKS shall employ the following:

  • A Webmaster

  • A Compliance Officer

  • Legal Counsel for GCPTALKS and GCPTALKS.org


ARTICLE X — Continuation of Bylaws

Section 10.1 — Ongoing Development

These articles represent the foundational governance structure. Additional bylaws, policies, and constitutional provisions shall be drafted and enacted by the founder and president as the organization evolves.


Creating the following:

  • A clean, formal bylaws chapter based on this

  • A Constitutional Preamble for GCPTALKS

  • A Founder & President Powers Clause

  • A Governance Chart summarizing the hierarchy
