OFFICERS POLICY ARTICLE


Bylaws Article — Standards, Conduct, Duties, and Governance of Officers

Founder & President: Garth B. Thompson Official 501(c) (3) Nonprofit — New York


SECTION 1 — Purpose of the Officers Policy

The Officers Policy establishes the standards, expectations, responsibilities, and conduct required of all officers serving within GCPTALKS, Inc. This article ensures that every officer operates in alignment with:

  • The Founder & President’s mission

  • The bylaws and constitution

  • Fiduciary obligations

  • Ethical and professional standards

  • The organizational hierarchy and chain of command

This policy applies to all officers across all departments, divisions, and executive offices.


SECTION 2 — Definition of an Officer

An officer of GCPTALKS, Inc. is any individual appointed, selected, or approved by

  • The Founder & President

  • The Executive Office

  • The Board of Ambassadors

  • The Board of Directors

  • The Chamber or Cabinet Session Hall

Officers may include, but are not limited to:

  • Vice Presidents

  • Assistant Vice Presidents

  • Executive Officers

  • Directors

  • Ambassadors

  • Secretaries

  • Treasurers

  • Managers

  • Liaison Officers

  • Fundraising Officers

  • Program Officers

  • Department Leaders

All officers are considered fiduciary representatives of GCPTALKS, Inc.


SECTION 3 — Officer Appointment & Selection

3.1 Appointment Authority

Officers may be appointed by:

  • The Founder & President (primary authority)

  • The Executive Office Manager (with approval)

  • The Executive Office Ambassador

  • The Board of Ambassadors

  • The Chamber Session Hall


3.2 Biography Requirement

Before the appointment, all officers must submit a joint biography, which:

  • Serves as a leadership indicator

  • Helps determine alignment with GCPTALKS values

  • Acts as a pre‑resume narrative

  • Supports the Founder & President in selection

A biography alone may qualify an individual for appointment.


SECTION 4 — Officer Duties & Responsibilities

Every officer must:

  • Uphold the mission of GCPTALKS, Inc.

  • Protect donor trust and confidentiality

  • Follow bylaws, constitutional policies, and executive directives

  • Maintain professionalism and ethical conduct

  • Support programs, projects, and initiatives

  • Represent GCPTALKS with dignity and respect

  • Report misconduct, fraud, or violations immediately

  • Support fundraising and community engagement

  • Work collaboratively with all departments

Officers are expected to serve as role models, leaders, and ambassadors of the organization.

SECTION 5 — Chain of Command & Oversight

Officers operate under the following hierarchy:

  1. Founder & President

  2. Senior Executive Vice President / Executive Vice Presidents

  3. Executive Office Ambassador

  4. Executive Office Manager

  5. Vice Presidents

  6. Directors & Department Leaders

  7. Deputies, Assistants, and Liaison Officers

Officers must respect the chain of command and follow directives from their supervising authority.


SECTION 6 — Conduct, Ethics & Professional Standards

Officers must:

  • Demonstrate integrity, honesty, and respect

  • Maintain confidentiality of donor and staff information

  • Avoid conflicts of interest

  • Protect the organization from fraud and malicious actors

  • Follow all federal, state, and nonprofit regulations

  • Uphold the Private Backing Act and donor privacy policies

  • Maintain a positive and professional public image

Any officer found violating these standards may be subject to:

  • Review

  • Suspension

  • Removal

  • Reporting to law enforcement (if applicable)


SECTION 7 — Fiduciary Responsibilities

Officers are fiduciaries of GCPTALKS, Inc. and must:

  • Protect organizational assets

  • Ensure proper use of funds

  • Support fundraising efforts

  • Maintain accurate records

  • Report financial concerns to the Treasurer or Executive Treasurer

  • Support transparency and accountability

Officers handling funds must follow:

  • The Treasurer’s Rules Act

  • The Private Backing Act

  • Federal nonprofit financial regulations


SECTION 8 — Officer Participation & Engagement

Officers are expected to:

  • Attend meetings, workshops, and cabinet sessions

  • Participate in community outreach

  • Support media, GCPTV, and charitable broadcasting

  • Assist with events, programs, and initiatives

  • Respond promptly to organizational communications

  • Represent GCPTALKS at public functions when requested

Active participation is required for continued appointments.


SECTION 9 — Officer Protection & Safety

GCPTALKS, Inc. protects its officers by:

  • Enforcing strict anti‑fraud policies

  • Reporting malicious actors to the FBI, CIA, state troopers, and local police

  • Maintaining secure data systems

  • Ensuring safe working environments

  • Supporting officers during fieldwork and outreach

Officers must report any threats or suspicious activity immediately.


SECTION 10 — Removal, Resignation & Replacement

10.1 Removal

An officer may be removed by:

  • The Founder & President

  • The Executive Office

  • The Board of Ambassadors (with approval)

Reasons for removal include:

  • Misconduct

  • Fraud

  • Negligence

  • Violation of bylaws

  • Failure to perform duties

  • Breach of confidentiality


10.2 Resignation

Officers may resign by submitting a written notice to:

  • The Founder & President

  • The Executive Office Manager

  • The Secretary of Society


10.3 Replacement

Vacancies may be filled by:

  • Appointment

  • Promotion

  • Recommendation

  • Biography review


SECTION 11 — Closing Statement
